1. Acceptance of Terms

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree to these Terms, do not use the Services. For questions, contact info@intelekt.live.

2. The Services

Intelekt is software that enables product definition, public surface (marketing and documentation) generation and sync, AI employee automations, and related collaboration features. Features may vary by plan and may evolve over time.

We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

3. Accounts and eligibility

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account.

You must be at least the age of majority in your jurisdiction (and at least 16) to use the Services. You may not use the Services if prohibited by applicable law.

4. Merchant of Record — Creem

Creem (Creem.io) acts as the Merchant of Record for paid subscriptions and related payments for Intelekt. This means Creem is the authorized reseller for payment purposes: Creem processes payments, handles applicable sales tax / VAT / GST collection and remittance where required, and manages payment-related billing, refunds processing, and chargebacks in accordance with its policies and applicable law. Intelekt remains responsible for providing the Intelekt software service, product support, and determining product eligibility for refunds under our Refund & Cancellation Policy.

For paid plans, your purchase transaction for payment purposes is with Creem as Merchant of Record / reseller. Creem’s buyer terms (available at https://www.creem.io/buyer-terms) may also apply to the payment relationship. Intelekt provides the licensed software service to you under these Terms.

Plan prices are displayed on our pricing page in USD unless otherwise stated. Applicable taxes may be calculated and collected by Creem at checkout.

Note: Support for the product is provided by Intelekt. Payment, invoice, and tax questions may involve Creem; we will help coordinate where appropriate. Contact info@intelekt.live for assistance.

5. Plans, subscriptions, and billing

We offer Free and paid plans (including Pro, Team, and Scale) with the limits described on our pricing page at the time of purchase or as otherwise agreed.

Paid subscriptions renew automatically at the end of each billing period (monthly or yearly) until cancelled, unless otherwise stated at checkout.

You authorize Creem to charge the payment method you provide for recurring fees and applicable taxes. Failure to pay may result in suspension or termination of paid features.

We may change plan prices or features with notice; changes typically apply on the next renewal unless required otherwise by law.

6. Cancellation and refunds

You may cancel a paid subscription as described in our Refund & Cancellation Policy and via Studio billing settings or the Creem customer portal where available.

Refund eligibility is governed by our Refund & Cancellation Policy. Creem processes approved refunds and handles chargebacks according to its procedures and applicable law.

7. Acceptable use

You agree not to:

• Violate any law or third-party rights.
• Upload malicious code or attempt to gain unauthorized access to the Services or related systems.
• Interfere with or disrupt the Services or other users.
• Use the Services to generate or distribute unlawful, harmful, or deceptive content.
• Misrepresent product capabilities to end users when using AI features; you remain responsible for reviewing outputs.
• Resell, sublicense, or provide the Services to third parties except as expressly permitted.
• Reverse engineer the Services except to the extent such restriction is prohibited by law.

8. Your content

You retain ownership of content you submit to the Services (“Customer Content”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Services.

You represent that you have the rights needed to submit Customer Content and that it does not infringe others’ rights.

You are responsible for Customer Content and for configuring access within your workspace appropriately.

9. AI features

The Services may use third-party model providers to generate or transform content (for example marketing copy drafts, documentation, or employee outputs). AI outputs may be inaccurate or incomplete. You should review outputs before relying on them or publishing them.

You must not use AI features to violate law or these Terms. We do not warrant that AI outputs are error-free or fit for a particular purpose.

10. Intellectual property

The Services, including software, branding, and documentation (excluding Customer Content), are owned by Intelekt or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services as permitted by your plan and these Terms.

11. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect such information and use it only for purposes of the relationship, except where information is public, independently developed, or required to be disclosed by law.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT (INCLUDING AI OUTPUTS) WILL BE ACCURATE OR COMPLETE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO USE THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU ARE ON A FREE PLAN.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You will defend and indemnify us against claims arising from your Customer Content, your use of the Services in violation of these Terms or law, or your infringement of third-party rights, except to the extent caused by our willful misconduct.

15. Termination

You may stop using the Services at any time and may cancel paid subscriptions as described in the Refund & Cancellation Policy.

We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or fail to pay fees when due. Upon termination, your right to use the Services ceases. Provisions that by nature should survive will survive.

16. Governing law

These Terms are governed by the laws applicable in the jurisdiction where Intelekt is established, excluding conflict-of-law rules, unless mandatory consumer protections in your country of residence provide otherwise. Courts in that jurisdiction will have exclusive venue, subject to mandatory consumer venue rights.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms and update the “Last updated” date. Continued use after changes become effective constitutes acceptance, except where additional consent is required by law.
